Sisällön jaksotus

The course consists of three main components: A. Section Basics of Finnish contract law. The part is carried out on one mandatory exam. B. Section Basics of Finnish consumer law and intellectual Property rights. The part is carried out on one mandatory exam. C. Section Details of the topic of the course. The part is carried out on one mandatory text exam. The course is based on the student's own independent work and it is automated. The calculation of execution points is also fully automated.

Tavoitteet

Osaat kuvailla sopimusten keskeisen roolin yrityksen liikesuhteissa. Tiedät sopimukseen liittyvien velvoitteiden syntymisen edellytykset ja seuraukset. Osaat arvioida organisaation sopimusoikeudellisia riskejä ja ottaa ne huomioon sopimuksia tehtäessä. Osaat kertoa myyjälle ja ostajalle miten sitova kauppasopimus syntyy ja mitkä heidän oikeutensa ja velvollisuutensa ovat irtaimen kaupassa. Tunnistat immateriaalioikeuksien suojaamisen tarpeet yritystoiminnassa ja osaat suunnitella yrityksen markkinoinnin niin, ettei se loukkaa muiden oikeuksia.

Mitkä ovat sopimusoikeuden yleiset periaatteet? Mitkä ovat tärkeimpien yritystoiminnan sopimustyyppien erityispiirteet ja sopimusrikkomusten seuraukset? Miten vahingonkorvausoikeus määräytyy sopimussuhteessa? Miten sitova kauppasopimus syntyy ja millä perusteilla kauppasopimus voi olla pätemätön? Mitkä ovat myyjän ja ostajan oikeudet ja velvollisuudet irtaimen omaisuuden kaupassa? Miten yritysten välinen kauppa eroaa kuluttajakaupasta? Miten elinkeinonharjoittaja voi suojata oikeuksiaan? Miten immateriaalioikeudet on otettava huomioon markkinoinnissa?
